These Terms & Conditions (Terms) govern your access to and use of the Fivedock ERP software-as-a-service platform and related websites (the Service), operated by WWW.DIRECTORY.COM.AU PTY LTD (ABN 68 090 816 461) (we, us, our). By creating an account, subscribing, or using the Service you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company.
1. The Service
Fivedock ERP is a multi-tenant, cloud-based operations platform providing modules for manufacturing, jobbing/projects, inventory, sales & distribution, point of sale, purchasing, service & asset management, CRM and reporting. We provide the Service on a subscription basis and may add, change or remove features over time.
2. Accounts & registration
- You must provide accurate registration details and keep them current.
- Each workspace is private to your organisation; you are responsible for all activity under your account and for keeping login credentials secure.
- You must notify us promptly of any unauthorised use of your account.
- You are responsible for the users you invite and their compliance with these Terms.
3. Free trial
New workspaces include a 30-day free trial. A valid payment method is required to start the trial, but no charge is made during the trial period. Unless you cancel before the trial ends, your subscription automatically continues and the payment method on file is charged the then-current fee. You may cancel at any time during the trial to avoid being charged.
4. Subscription, fees & billing
- The standard subscription fee is A$199 per month (including GST), billed monthly in advance after any free trial, unless a different price applies to your plan or an active discount code.
- Payments are processed by our third-party payment provider, Stripe. By subscribing you authorise recurring charges to your payment method until you cancel.
- Fees are non-refundable except where required by law (including the Australian Consumer Law). Cancelling stops future charges; it does not refund the current billing period.
- We may change subscription fees on reasonable prior notice; changes take effect at your next billing cycle.
- If a payment fails, we may suspend access until the amount is paid.
5. Discount codes
Discount codes are applied at checkout, are non-transferable, have no cash value, and may be varied or withdrawn at any time. Where a code applies, the discounted price continues for the duration stated for that code while your subscription remains active.
6. Cancellation
You may cancel your subscription at any time from your billing settings or by contacting us. Cancellation takes effect at the end of the current billing period, after which your access ends. You are responsible for exporting your data before cancellation.
7. Acceptable use
You must not, and must not permit others to:
- use the Service unlawfully or in breach of any applicable law (including the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth));
- upload malicious code, attempt to gain unauthorised access, probe, or disrupt the Service or other tenants;
- reverse engineer, resell, or sublicense the Service except as expressly permitted;
- use the Service to store or transmit infringing, defamatory, or unlawful content; or
- exceed reasonable use that degrades the Service for others.
We may suspend or terminate accounts that breach this section.
8. Your data
You retain all ownership of the data you enter into the Service (Your Data). You grant us a limited licence to host, process and back up Your Data solely to provide and support the Service. We handle personal information in accordance with our Privacy Policy. You are responsible for the accuracy and lawfulness of Your Data and for having the rights to provide it.
9. Availability & support
We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable for maintenance, updates, or factors beyond our control. Support is provided via our support and contact channels.
10. Intellectual property
The Service, including its software, design and content (excluding Your Data), is owned by us or our licensors and is protected by intellectual-property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.
11. Third-party services
The Service integrates with third parties (e.g. Stripe for payments and Caimunicate for in-app chat support). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. The Service is an operational and record-keeping tool and does not constitute accounting, tax, legal or financial advice; you remain responsible for your own compliance and for verifying outputs.
13. Australian Consumer Law
14. Limitation of liability
Subject to section 13, to the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, data or goodwill; and (b) our total aggregate liability arising out of or in connection with the Service is limited to the amount of fees you paid to us in the 12 months before the event giving rise to the liability.
15. Indemnity
You indemnify us against claims, losses and costs arising from Your Data, your use of the Service in breach of these Terms, or your breach of any law.
16. Suspension & termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or where required to protect the Service or other users. You may terminate by cancelling your subscription. On termination, your right to use the Service ends and we may delete Your Data after a reasonable period.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app, and continued use after the effective date constitutes acceptance.
18. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
